Terms of Service

These Terms include a binding arbitration agreement and class-action waiver in Section 13. By creating an account or using StarsUp, you agree that disputes will be resolved by individual arbitration in Nevada — you waive your right to a jury trial and your right to bring or participate in a class action, except as expressly stated.

You have 30 days from creating your account to opt out of arbitration by emailing legal@starsup.appwith your account email and the subject line “Arbitration Opt-Out”. After 30 days the arbitration agreement is binding.

Welcome to StarsUp. By creating an account or using the Service, you agree to these Terms. If you don't agree, please don't use the Service. Throughout this agreement, “StarsUp”, “we”, and “the Service” refer to the StarsUp application. “You” refers to the parent or caregiver who creates the account.

1. Who can use StarsUp

You must be at least 18 years old and capable of forming a binding contract under the laws of your jurisdiction to create an account. By creating an account, you confirm you are the parent or legal guardian of any children whose data you enter into the Service, and you grant us permission to process their data for the purposes described in our Privacy Policy.

2. Your account

  • You're responsible for keeping your sign-in credentials and any sub-account PINs secure.
  • You're responsible for all activity that happens under your account, including any co-parents or caregivers you invite.
  • One person, one account. Don't share account credentials.
  • If you suspect unauthorized access, email support@starsup.app immediately.

3. Subscriptions and billing

StarsUp offers Free and paid plans (“Solo”, “Family”, “Tribe”, and one-time “Lifetime”). By starting a paid plan you agree to:

  • The current price as shown at checkout. Prices may change with 30 days' notice for active subscribers; you can cancel any time before the change takes effect.
  • Automatic renewal at the end of each billing cycle (monthly or annual) until cancelled. You can cancel anytime — see “Cancellation” below.
  • Charges are processed by Stripe, Apple App Store, or Google Play depending on where you signed up. Refunds are subject to that platform's policies.
  • Promotional pricing applies only for the indicated period; the full price applies afterward.

4. Cancellation and refunds

  • You can cancel anytime from Settings → Plan & Subscription, or via the App Store / Play Store subscription manager.
  • Cancellation takes effect at the end of your current paid period — you keep access until then.
  • We offer pro-rated refunds for annual subscriptions cancelled within 14 days of purchase. After 14 days, refunds are at our discretion.
  • Lifetime purchases are non-refundable except as required by law.
  • App Store / Play Store purchases follow their respective refund policies, which override these terms.

5. Acceptable use

You agree NOT to:

  • Use StarsUp for any purpose that harms a child or violates child-protection laws.
  • Use the Service to harass, threaten, or shame a child or other person.
  • Upload illegal content, including child sexual abuse material — we report any such content to authorities immediately.
  • Reverse-engineer, decompile, or attempt to extract source code from the Service.
  • Use bots, scrapers, or automated tools without written permission.
  • Resell, sublicense, or commercially distribute the Service.

6. Your content

You own the data you put into StarsUp (ratings, comments, photos, kid profiles). By using the Service you grant us a limited license to store, process, and display that data solely to provide the Service to you and your household. We never sell your data and never use it to train AI models.

7. Our intellectual property

The StarsUp name, logo, design, software code, and all related materials are owned by us. You receive a personal, non-transferable license to use the Service for your family's personal use. No ownership rights transfer to you.

8. Service availability

We aim for high uptime but don't guarantee uninterrupted service. We may suspend or discontinue features with reasonable notice. For data portability, you can export your data anytime.

9. Disclaimers

StarsUp is a behavior-tracking and motivation tool — it is not a mental-health service, parenting therapy, or medical product. If you have concerns about your child's wellbeing, consult a qualified professional.

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. To the maximum extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of liability

To the maximum extent permitted by law, our total liability arising out of or related to the Service is limited to the greater of (a) the amount you've paid us in the 12 months before the claim, or (b) $100. We are not liable for indirect, incidental, special, or consequential damages.

11. Indemnity

You agree to defend and indemnify StarsUp against claims arising from your misuse of the Service, your violation of these Terms, or your violation of any third party's rights.

12. Termination

You may stop using the Service and delete your account anytime. We may suspend or terminate accounts that violate these Terms or applicable law. On termination, your right to use the Service ends; sections that by nature should survive (ownership, disclaimers, limitations) survive termination.

13. Binding arbitration & class-action waiver

Please read this section carefully — it affects your legal rights.

13.1 Agreement to arbitrate.You and StarsUp agree that any past, present, or future dispute, claim, or controversy between us arising out of or relating to these Terms, the Service, our advertising, or your account (collectively, “Disputes”) will be resolved by final and binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures, instead of in a court of law. This includes Disputes arising before these Terms or any prior agreement existed.

13.2 Exceptions. The following claims are not subject to arbitration: (a) small-claims-court actions brought in your home county; (b) claims for injunctive or equitable relief to stop unauthorized use of the Service or infringement of intellectual property; (c) any dispute that cannot, by law, be subject to arbitration.

13.3 Class-action waiver. You and StarsUp agree to bring claims against each other only in your or our individual capacity, and not as a plaintiff or class member in any purported class, consolidated, collective, or representative proceeding. The arbitrator may not consolidate claims of more than one person and may not preside over any form of representative or class proceeding. If this class-action waiver is held unenforceable, the arbitration agreement in this Section 13 is void in its entirety and the Dispute will be resolved in court under Section 14 (Governing Law).

13.4 Procedure. Arbitration will be conducted by a single neutral arbitrator. Hearings will take place in Clark County, Nevada, or by phone or video at your request. If the value of your claim is $10,000 or less, you may choose to have the arbitration decided on documents only. Each side will bear its own attorneys' fees and costs, unless the arbitrator awards them under applicable law. JAMS' consumer-protection provisions will apply, and we'll pay all JAMS fees in excess of $250 for individual arbitration filed against us.

13.5 Jury-trial waiver. You and StarsUp expressly waive any right to a trial by jury for any Dispute that for any reason proceeds in court rather than arbitration.

13.6 30-day opt-out. You may opt out of this arbitration agreement by emailing legal@starsup.app within 30 days of creating your accountwith the subject “Arbitration Opt-Out” and including your account email. Opting out won't affect any other part of these Terms. If you opt out, Section 14 (Governing Law) controls all Disputes.

13.7 Severability. If any portion of this Section 13 is held invalid or unenforceable, that portion will be severed and the remainder will continue in effect.

13.8 Survival. This Section 13 survives any termination of your account or these Terms.

14. Governing law & venue

These Terms are governed by the laws of the State of Nevada, USA, without regard to its conflict-of-law principles. For any Dispute not subject to arbitration under Section 13, you and StarsUp agree to the exclusive jurisdiction and venue of the state and federal courts located in Clark County, Nevada, and waive any objection to that venue, except where your local consumer- protection laws require otherwise.

15. Changes to these terms

We'll post updated terms on this page and notify account holders by email for significant changes at least 14 days before they take effect. Continued use after changes means acceptance.
